the launch of a public selection procedure with comparative curricular evaluation, for the composition of a Supervisory Board of a collegial nature.

OBJECT OF THE ASSIGNMENT

The assignment will entail the performance of all activities aimed at ensuring compliance with the Code of Ethics of Messinaservizi Bene Comune S.p.a. as well as the functioning and observance of the Organisational, Management and Control Model, in accordance with the provisions of Article 6, paragraph 1, letter b) of Legislative Decree no. 231/2001. For the above-mentioned assignment, the presence at the company premises is envisaged whenever the activities of competence make it necessary.

In particular, the O.d.V. is entrusted, by way of example and without limitation, with the following tasks for the performance and exercise of its functions:

❖ to supervise the functioning of the organisational model, both with respect to reducing the risk of commission of the offences referred to in Legislative Decree 231/2001, and with reference to its ability to bring to light any unlawful conduct;

❖ supervise the existence and persistence over time of the requirements of efficiency and effectiveness of the Model, also in terms of correspondence between the operating methods concretely adopted by the recipients of the Model and the procedures formally provided for or referred to therein;

❖ take care of, develop and promote the constant updating of the Model, formulating, where necessary, proposals to the management body for any updates and adjustments to be made through amendments and/or additions that may be necessary as a result of
- regulatory changes;
- significant violations of the provisions of the Model;
- significant changes in the internal structure of Messinaservizi Bene Comune S.p.a.;

❖ ensure the regular updating of the system for identifying, mapping and classifying sensitive activities;

❖ detect any behavioural deviations that may emerge from the analysis of information flows and from the reports to which the heads of the various functions are subject;

❖ promptly report to the Administrative Body or to the Board of Auditors, any ascertained violations of the Model that may entail a liability for the Entity, for the appropriate disciplinary measures;

❖ request and acquire information, documents and data, deemed necessary for the performance of the tasks provided for by Legislative Decree No. 231/2001.
